Reference is made to the Company’s announcements dated 15 May 2025 and 26 May 2025 in relation to the Proposals ("Announcements"). Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings as defined in the aforesaid Announcements.

On behalf of the Board, RHB Investment Bank wishes to announce that Bursa Securities has, vide its letter dated 8 July 2025, resolved to approve the listing of and quotation for up to 283,322,100 Placement Shares, subject to the following conditions:

(i)   Avillion and RHB Investment Bank must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities ("Listing Requirements") pertaining to the implementation of the Proposed Private Placement;

(ii)   Avillion is required to furnish Bursa Securities with a certified true copy of the resolution passed by its shareholders at a general meeting for the Proposed Private Placement;

(iii)   RHB Investment Bank is required to furnish Bursa Securities with details of the placees in accordance with paragraph 6.15 of the Listing Requirements as soon as practicable after each tranche of placement and before the listing of the Placement Shares;

(iv)   Avillion and RHB Investment Bank are required to inform Bursa Securities upon completion of the Proposed Private Placement; and

(v)   Avillion is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed.
