Reliance E-Com Sdn Bhd was incorporated on 24th February 2000 and is a wholly-owned subsidiary of Reliance Pacific Berhad("RPB") on 25th February 2000.
It has an authorised capital of RM100,000 and an issued and paid-up share capital of 2 ordinary shares of RM1.00 each.
2.0 RELZONE ONLINE SDN BHD
Relzone Online Sdn Bhd was incorporated on 24th February 2000 and is a wholly-owned subsidiary of Reliance E-Com Sdn Bhd on 25th February 2000. The latter company is a wholly-owned subsidiary of RPB.
Relzone Online Sdn Bhd has an authorised capital of RM100,000 and an issued and paid-up share capital of 2 ordinary shares of RM1.00 each.
3.0 RELIANCE TRAVEL.COM SDN BHD
Reliance Travel.Com Sdn Bhd was incorporated on 24th February 2000 and is a wholly-owned subsidiary of Relzone Online Sdn Bhd on 25th February 2000. The latter is a wholly-owned subsidiary of Reliance E-Com Sdn Bhd which in turn is a subsidiary of RPB.
Reliance Travel.Com Sdn Bhd has an authorised capital of RM100,000 and an issued and paid-up share capital of 2 ordinary shares of RM1.00 each.
4.0 XPLONET CAPITAL SDN BHD
Xplonet Capital Sdn Bhd was incorporated on 24th February 2000 and is a wholly-owned subsidiary of Reliance E-Com Sdn Bhd on 25th February 2000. The latter is a wholly-owned subsidiary of RPB.
Xplonet Capital Sdn Bhd has an authorised capital of RM100,000 and an issued and paid-up share capital of 2 ordinary shares of RM1.00 each.
5.0 XPLONET INVESTMENTS LIMITED
Xplonet Investments Limited was incorporated in British Virgin Island on 15th February 2000 and is wholly-owned by RPB Holdings (Overseas) Limited, a wholly-owned subsidiary of RPB.
Xplonet Investments Limited has an authorised capital of AUD100,000 and an issued and paid-up share capital of 100, 000 ordinary shares of AUD1.00 each.
The aforesaid transactions have no material effects on RPB's earnings per share and net tangible assets per share for the financial year ending 31st March 2000.
There are no directors or substantial shareholders' interest in respect of the above transactions. Further, no approvals from government authorities are required.
Rationale :
All the above companies will be used as future investment vehicles for online trading business and investment into internet businesses.
